"Software" means the Aquin Engine, including all compiled modules, bytecode, extension files, configuration files, documentation, and any other files distributed as part of the aquin package or any derivative thereof.

"Licensor" means Aquin Labs Private Limited, a company incorporated under the laws of India.

"Licensee" means the individual or entity that has obtained a valid API key from Licensor and uses the Software in accordance with this License.

"API Key" means the unique authentication credential issued by Licensor to Licensee that is required to activate and operate the Software.

Subject to the terms and conditions of this License and provided that Licensee holds a valid, active API Key issued by Licensor, Licensor grants Licensee a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software solely for Licensee's own internal purposes.

This license does not include any right to:

• use the Software without a valid API Key;
• use the Software for the benefit of any third party as a service bureau, time-sharing arrangement, or otherwise;
• copy, reproduce, or duplicate the Software beyond what is strictly necessary for a single installation;
• modify, adapt, translate, or create derivative works of the Software;
• reverse engineer, disassemble, decompile, decode, decrypt, or otherwise attempt to derive the source code, algorithms, structure, or ideas underlying the Software, in whole or in part;
• remove, alter, obscure, or circumvent any proprietary notices, labels, license enforcement mechanisms, or technical protection measures in or on the Software;
• distribute, sell, resell, sublicense, rent, lease, lend, transfer, or otherwise make the Software available to any third party;
• use the Software to build a competing product or service.

The Software requires a valid API Key to operate. The API Key is personal to the Licensee and may not be shared, transferred, or disclosed to any third party.

Licensor may revoke any API Key at any time, with or without cause, by disabling the key in Aquin Cloud. Upon revocation, all rights granted under this License terminate immediately and Licensee must cease all use of the Software.

Licensor reserves the right to audit API Key usage for compliance with this License.

The Software is proprietary to Licensor and is protected by copyright law, trade secret law, and other applicable intellectual property laws and treaties worldwide. Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights therein.

No title or ownership of the Software is transferred to Licensee. Licensee acquires only the limited right to use the Software as expressly set forth in Section 2 above.

The Software and its structure, organization, and code constitute valuable trade secrets of Licensor. Licensee agrees to maintain the confidentiality of the Software and not to disclose it to any third party without Licensor's prior written consent.

This License is effective until terminated. It will terminate automatically, without notice from Licensor, if:

• Licensee breaches any term of this License;
• Licensee's API Key is revoked;
• Licensee attempts to circumvent any license enforcement mechanism.

Upon termination, Licensee must immediately cease all use of the Software and destroy all copies in its possession or control.

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR, ITS DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES WHATSOEVER, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THIS LICENSE OR THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL LICENSOR'S TOTAL AGGREGATE LIABILITY TO LICENSEE UNDER THIS LICENSE EXCEED THE AMOUNT ACTUALLY PAID BY LICENSEE TO LICENSOR IN THE TWELVE MONTHS PRECEDING THE CLAIM.

This License shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute arising out of or in connection with this License shall be subject to the exclusive jurisdiction of the competent courts of India.

This License constitutes the entire agreement between Licensor and Licensee with respect to the Software and supersedes all prior or contemporaneous understandings, negotiations, or agreements, whether written or oral, relating to the Software.

If any provision of this License is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Licensor's failure to enforce any provision of this License shall not constitute a waiver of Licensor's rights to enforce such provision in the future.
